Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of BA Prism, a professional Business Analysis learning platform owned and operated by Eccellenza Consulting Ltd ("BA Prism", "we", "us", "our"). By creating an account, subscribing to a plan, or otherwise using the platform, you ("you", "the user", "the subscriber") agree to be bound by these Terms.

If you do not agree to these Terms, you must not register for, subscribe to, or use BA Prism.

2. Definitions

• "Platform" means the BA Prism website, learning management system, mobile-optimised interface and all associated services.

• "Content" means all courses, videos, workbooks, frameworks, templates, AI prompts, case studies, process maps, exercises and downloadable resources made available through the Platform.

• "Subscription" means a paid plan (monthly or annual) granting access to some or all Content.

• "Learner" means an individual registered to use the Platform, whether personally or through a corporate licence.

• "Corporate Licence" means a subscription purchased by an organisation for use by its employees or members.

3. Eligibility

BA Prism is intended for use by individuals aged 18 or over. Where a corporate licence permits access by learners under 18, additional safeguarding provisions apply, as set out in our Safeguarding Statement, and the organisation is responsible for ensuring appropriate consent and supervision.

By registering, you confirm that the information you provide is accurate and that you have the legal capacity to enter into a binding contract.

4. Account Registration and Security

To access most Content, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your login credentials;

• All activity that occurs under your account;

• Notifying us immediately at support@baprism.co.uk of any unauthorised access or suspected breach of security.

We recommend the use of strong, unique passwords and, where available, multi-factor authentication. BA Prism reserves the right to suspend accounts showing suspicious activity, including credential sharing across multiple devices beyond the limits set out in your subscription tier.

Multi-device access is permitted in accordance with the device limits attached to your subscription plan, as published on the Platform from time to time. Accounts found to be shared between multiple individuals may be suspended without refund.

5. Subscriptions and Payment

5.1 Subscription Plans

BA Prism offers monthly and annual subscription plans. Current pricing and plan features are published on the Platform and may be updated from time to time, with reasonable notice given to existing subscribers before any price change takes effect on their next renewal.

5.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) using the payment method on file, unless cancelled before the renewal date. You will be able to view your next renewal date within your account settings.

5.3 Payment Failures

If a payment fails, we will attempt to process it again and will notify you by email. If payment is not successfully resolved within 7 days, your subscription may be downgraded to a free or restricted tier, or your account access suspended, until payment is received.

5.4 Corporate Licences

Corporate licences are subject to a separate order form or agreement, which will take precedence over these Terms in the event of any conflict regarding commercial terms, minimum seats and invoicing arrangements.

6. The Learning Platform

6.1 Learning Progress

BA Prism tracks your progress through courses, modules and assessments so that you can resume learning and monitor your development. Progress data is retained for as long as your account remains active, in accordance with our Privacy Policy.

6.2 Assessments and Course Completion

Certain courses include assessments, knowledge checks or practical exercises. Course completion status is determined by the criteria published within each course. BA Prism reserves the right to review completion records where there is reasonable suspicion of misuse, such as sharing of answers or automated completion.

6.3 Certificates

Certificates of completion are issued electronically upon meeting the published completion criteria for a course. Certificates are provided for professional development purposes only and do not constitute a professional qualification, accreditation or licence to practise unless expressly stated for a specific course.

7. Intellectual Property

All Content, including videos, workbooks, frameworks, templates, AI prompts, case studies, process maps, exercises and downloadable resources, is owned by or licensed to Eccellenza Consulting Ltd and is protected by UK and international copyright law. Full detail is set out in our Copyright & Intellectual Property Policy, which forms part of these Terms.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Content for your personal professional development. No Content may be copied, redistributed, resold, or used to train, prompt, or fine-tune any artificial intelligence or machine learning model without our prior written consent.

8. Acceptable Use

Use of the Platform is subject to our Acceptable Use Policy, which forms part of these Terms. Breach of the Acceptable Use Policy may result in suspension or termination of your account without refund.

9. Community

Where BA Prism provides community features (forums, discussion boards, or messaging groups), use of these features is subject to our Community Guidelines. We reserve the right to moderate, remove content from, or restrict access to community areas at our reasonable discretion.

10. Refunds and Cancellation

Cancellation and refund rights are set out in full in our Refund & Cancellation Policy, which forms part of these Terms. In summary, UK consumers benefit from a 14-day cooling-off period under the Consumer Contracts Regulations 2013, subject to the exceptions described in that policy for digital content that has already been accessed.

11. Third-Party Services

The Platform may integrate third-party services (for example, payment processors, video hosting, or analytics providers). We are not responsible for the availability or performance of third-party services, though we take reasonable care in selecting reputable providers.

12. Disclaimers and Limitation of Liability

BA Prism is provided on an "as available" basis. While we take reasonable steps to ensure Content is accurate and the Platform is available, we do not guarantee uninterrupted or error-free access.

To the fullest extent permitted by law, Eccellenza Consulting Ltd shall not be liable for any indirect, incidental or consequential loss arising from use of the Platform, including loss of profits, business opportunity or data. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under English law.

Our total liability to you in respect of any claim arising from these Terms shall not exceed the total amount you paid to BA Prism in the 12 months preceding the event giving rise to the claim.

13. Termination and Suspension

We may suspend or terminate your account, with or without notice, where you breach these Terms, the Acceptable Use Policy, or the Community Guidelines, or where required to do so by law. You may cancel your account at any time through your account settings or by contacting support@baprism.co.uk.

Upon termination, your right to access Content ceases immediately. Provisions relating to intellectual property, liability and governing law survive termination.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be notified to active subscribers by email or in-platform notice at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections available to you in your country of residence.
